Renewed emphasis is being placed on the accurate recording of meetings through corporate minutes. Properly prepared minutes can play an important role in protecting an organization against certain liabilities, while inadequate minutes can increase legal exposure. Our experienced panel will discuss the advantages and disadvantages of comprehensive vs. minimalist minutes while providing advice on how to best reflect that decisions and discussions accord to statutory, regulatory and ethical standards. Topics include applicable law and trends of use of minutes in litigation, best practices, and ethical considerations.
