Subsidiary Governance In-House Counsel Primer

Our expert panel will explore particular corporate governance issues facing Canadian subsidiaries of multi-national corganizatiosn and controlled public companies. A director's fiduciary duty is unchanged by the nature of a shareholder's control over the company, unless such duty is completely removed by a shareholder declaration. Corporate counsel must be mindful of the existence of these duties and how to best mitigate potential challenges arising from such duties.
Specific corporate governance issues to be discussed include:
- implications and application of foreign corrupt practices legislation
- the role of subsidiary company directors and independent directors of controlled companies
- board diversity
