Are Challenging Franchise Disclosure Issues Keeping You Up at Night?
Franchise Law | Original Program Date: March 4, 2014
The days of simply providing franchisee candidates with a generic disclosure document are generally thought to be over. Increasingly, Ontario courts are expecting that disclosure documents be customized to include specific material facts about the actual franchise being granted, but there is very little guidance in the franchise legislation on how to prepare these customized disclosure documents. Join our panel of experts for an advanced discussion on the more difficult disclosure issues that cross our desks and ensure that the documents you prepare properly address:
- Site specific information
- Transfers of existing franchise locations
- Statements of Material Change
- Costs of establishing the franchise
- Earnings projections
- Financial statements
- Third party agreements
It is also essential that you understand the proper role of the lawyer in assessing the contents of the information included in the FDD, particularly the financial information, and in ensuring that all of the material site or deal specific information is provided to the candidate. You will also learn how to identify and address the practical and ethical issues that can arise when advising the franchisor on its franchise sales process or in assisting the franchisor with its disclosure process.
