In this program, our speakers will describe the various crowdfunding models that have been developing online and will review the legal issues that crowdfunding has raised, including securities law and the other issues that need to be considered when preparing website terms of use and other commercial agreements for internet based funding portals. Our speakers will also provide an update on regulatory reform initiatives in the U.S. and in Canada.
Brian P. Koscak is a Partner at Cassels Brock & Blackwell LLP located in Toronto and practices in the area of corporate and securities law. Brian is the Chairman of the Exempt Market Dealers Association of Canada and is also a member of the Ontario Securities Commission's ad hoc Exempt Market Advisory Committee. Brian is actively involved in developing a viable crowdfunding framework for Canada and has spoken at numerous crowdfunding events, presented a framework for legalizing equity crowdfunding to securities regulators across Canada and is actively involved with national and international crowdfunding associations and clients, including funding portals.
Douglas S. Ellenoff has been a partner at Ellenoff Grossman & Schole LLP since its founding in 1992. Mr. Ellenoff is a U.S. corporate and securities attorney with a specialty in business transactions and corporate financings. Recognized as a thought leader and expert on the nuanced legalities of the JOBS Act, Mr. Ellenoff speaks prolifically at conferences and events and has actively engaged with the SEC to discuss many aspects of the proposed new law. Mr. Ellenoff has met with the SEC to discuss many aspects of the new law, how the industry currently operates and how both the SEC and FINRA will register and regulate the portals.
