Join Pamela Hilderman and Melissa Cattini for a discussion on restrictive covenants (non-competition, non-solicitation and confidentiality covenants), and emerging developments in covenants that restrict private behaviour in the commercial context such as non-disparagement clauses and “morals” clauses.
This discussion will provide an overview of the key commercial terms for:
• protecting the goodwill and post-sale value of a business;
• managing relationships;
• preventing damage to client interests from current and outgoing employees; and executives.
Items covered will include important drafting and negotiation considerations for:
• general business management;
• mergers and acquisitions;
• entering into contracts with agents, sellers and representatives of a business;
• morals clauses; and
• drafting settlement agreements.
