This presentation is intended to acquaint public sector lawyers with the roles and responsibilities of corporate directors. Lawyers regularly are asked to serve on boards of businesses and organizations in their communities. Michael Marin will outline the obligations that come from accepting such a position, including the nature and extent of the fiduciary duty and the duty of care. The presentation will also provide practical tips for mitigating and planning for the potential exposure of prospective directors. Finally, special attention will be paid to the context of public sector lawyers, notably the issue of professional liability insurance.
