Providing Strategic Advice on Legal Liabilities: Managing Implications of Geopolitical Risks

As corporate counsel, it is imperative to guide your clients through the complex landscape of legal liabilities that can arise from geopolitical risks. The liability of a company or its board can be intensified, or even initiated, by neglecting to adequately address foreseeable risks. Investors, bankers, suppliers, and business partners may contend that they are entitled to depend on the company's thorough consideration and preparation for such risks. Your corporate clients need your advice on:

  • Engaging stakeholders in identifying, evaluating, and mitigating risks, and the appropriate level of involvement.
  • Determining whether stakeholders should be considered as interested parties for the purposes of potential oppression remedies.
  • Securing explicit acknowledgments and acceptances of specific risks from stakeholders.
  • Balancing between over-inclusion and under-inclusion in public and investor communications and regulatory filings.
  • Develop strategic legal responses to geopolitical risks by conducting thorough assessments, designing proactive strategies, and creating tailored crisis management plans to safeguard client interests.
