Back to the Future – A Refresher on the Essentials of Contract Interpretation

This program will provide a distillation of the principles of contractual interpretation with particular review of the impact of a series of cases from the Supreme Court: Sattva Capital Corp. v. Creston Moly Corp., 2014 SCC 53, Ledcor Construction Ltd. v. Northbridge Indemnity Insurance, 2016 SCC 37, Corner Brook (City) v. Bailey, 2021 SCC 29, [2021] 2 S.C.R. 540, Earthco Soil Mixtures Inc v Pine Valley Enterprises Inc 2024 SCC 20. The program will touch upon contractual interpretation in the context of:
- Commercial, insurance and standard form contracts
- Impact of both standard form contract and negotiated amendments in the same contract
- Interpretation in the context of exclusions and, releases
- Ambiguity, implied terms, and everything in between
- Deference/Standard of Review.
