Back to the Future – A Refresher on the Essentials of Contract Interpretation

This program will provide a distillation of the principles of contractual interpretation with particular review of the impact of a series of cases from the Supreme Court: Sattva Capital Corp. v. Creston Moly Corp., 2014 SCC 53, Ledcor Construction Ltd. v. Northbridge Indemnity Insurance, 2016 SCC 37, Corner Brook (City) v. Bailey, 2021 SCC 29, [2021] 2 S.C.R. 540, Earthco Soil Mixtures Inc v Pine Valley Enterprises Inc 2024 SCC 20. The program will touch upon contractual interpretation in the context of:

  1. Commercial, insurance and standard form contracts
  2.  Impact of both standard form contract and negotiated amendments in the same contract
  3.  Interpretation in the context of exclusions and, releases
  4.  Ambiguity, implied terms, and everything in between
  5.  Deference/Standard of Review.
