The following program is the third and final program in a series of programs hosted by the Young Lawyers Committee addressing the role competition lawyers have in assisting their clients with planning for a merger or joint venture beyond making competition filings.
In this session, we will address the competition lawyer's role in managing the risks of integration activities. Parties to a proposed merger are often keen to begin exchanging information for effective due diligence and integration planning in anticipation of their closing. However, certain activities taken by the parties before closing can raise gun-jumping concerns. During this session, our panelists will discuss how to manage the risk associated with integration planning, pre-closing.
Join us as we take a deep dive navigating the world of clean teams in the merger and joint venture context to understand what they are, when they need to be used, and best practices for creating clean teams, clean rooms and preparing clean team agreements.
