While the decision in Cineplex v. Cineworld is getting a lot of attention from M&A lawyers, the case also highlights a number of issues for those involved in foreign investment review and competition law.

It laid bare the difficulty faced by a target in proving breach of the purchaser’s contractual obligations regarding Investment Canada Act approval, and, even if breach can be shown, in obtaining a meaningful order of specific performance.

It is the first time a Joint Defence Agreement – which is typically intended to be safeguarded as privileged and confidential – has been made public. Our panel will consider these and other aspects of the case, including best practices in drafting contractual provisions to mitigate these risks.
