Merger litigation in Canada is rare, as merging parties often enter into a consent agreement with the Commissioner prior to completing their transaction. However, given the lengthy timelines for complex merger reviews (particularly those where the Competition Bureau is asked to consider efficiency claims), is it time for merging parties to more frequently complete their transactions without affirmative comfort, close over concerns raised by the Competition Bureau, and instead react to potential enforcement at the Competition Tribunal? Is the calculus different for non-notifiable transactions? What are the key timing and procedural considerations arising in merger litigation?  Is the current Tribunal process and framework effective? This panel will discuss the options, strategies and risks competition counsel should consider when advising on and navigating merger transactions that may result in litigation.
