Parties to a proposed merger are often keen to exchange information in anticipation of their integration after closing. However, the manner in which parties conduct diligence, negotiate interim covenants and allocate risk, and undertake integration planning can raise additional risk under both the civil and the criminal provisions of the Competition Act. For cross-border transactions, advisors must also consider potential legal implications outside of Canada. While to date the Competition Bureau has not undertaken formal enforcement activity for merger planning activities that cross the line, enforcement has occurred elsewhere including in the United States and Europe. Join our panelists as they discuss how to manage the risks of a range of merger planning activities while providing practical advice to clients who are eager to realize on the anticipated benefits of their transaction.
