This session will provide an overview of some of the challenges faced by practitioners and the sector in dealing with the CNCA since coming into force, and a survey of cases involving CNCA provisions. Examples include when class votes are required and how to conduct them, difficulty with proxy votes, electronic voting issues, delegate voting, simple majority is not the same as 50% plus 1. The speaker will present some best practices for AGMs in light of COVID-19 physical distancing.

Building an Ideal Non-Share Corporations Act

After decades of seeking reforms to the corporate statutes governing non-profits and charities, lawyers across the country received a mish-mash of statutes, each of which has its merits and demerits. But there is not one statute that stands out as superior to all the rest, and each statute has its often jaw-dropping shortcomings. What would a non-share capital statute look like if it was drafted by the people who actually have to use it – charity and non-profit lawyers?
