Synopsis
For lawyers advising non-profit organizations, a thorough grasp of the distinct roles, rights, and responsibilities of members and directors is essential. Non-profits often face challenges in maintaining these distinctions in their day-to-day operations, leading to potential conflicts and governance issues.
Martha Rans, KC, Legal Director, Pacific Legal Education and Outreach Society, delves into the key differences between members and directors under British Columbia's Societies Act, highlighting the essentials that every not-for-profit lawyer should know, including complexities surrounding member rights, terms, discipline, and expulsion. Other topics discussed are common challenges non-profits encounter when managing memberships, including the contentious issues that can arise.
About the Speaker
Martha Rans, KC is an advocate for public legal education and information. She is the Legal Director and founder of Pacific Legal Education and Outreach Society (lawfornonprofits.ca), a resource dedicated to the non-profit sector. She provides advice, information and education to thousands of BC's creators and non-profits. She is also a copyright educator and teaches the next generation of artists and designers at post-secondary schools across Canada.
In addition to her public legal education work, Martha has a private practice in Vancouver advising non-profits, charities, and digital creatives. Prior to starting her practice, Martha spent 10 years as labour employment and human rights lawyer/mediator with the BC and Ontario governments. She has appeared before administrative tribunals, provincial and BC Supreme Court. She advises on charity law, incorporation, governance, privacy, employment, labour, health & safety and human rights. Her advice is practical and strategic, tailored to the needs of her clients.
