RWI is becoming a more commonly used tool in M&A transactions in the energy sector in Canada, particularly in auction processes and deals involving private equity (P/E) participants. This generally results in streamlining negotiations of representations and warranties and indemnities in purchase and sale agreements. This presentation will provide an in-depth summary of how this insurance product works, what it means for the deal lawyers, the pros and cons of RWI, and other deal considerations that are impacted when parties are considering implementing RWI.
